The terms that govern your access to and use of Apifuse.

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “Customer”) and Aqen Labs LLC, the operator of Apifuse (“Apifuse”, “we”, “us” or “our”), and govern your access to and use of our website, API and related services (the “Services”). By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

“API” means the Apifuse application programming interface. “Models” means the third-party AI models accessible through the Services. “API Key” means the credential used to authenticate your requests. “Input” means content you submit to the Services, and “Output” means content returned to you.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You agree to provide accurate account information and to keep it up to date. You are responsible for all activity that occurs under your account.

3. API keys and security

You are responsible for keeping your API Keys confidential and for all usage associated with them. Do not share keys publicly or embed them in client-side code. Rotate or revoke keys immediately if you suspect they have been compromised. We are not liable for losses arising from unauthorized use of your keys due to your failure to safeguard them.

4. Acceptable use

You agree not to use the Services to:

  • violate any applicable law or regulation;
  • infringe intellectual property or privacy rights of others;
  • generate or distribute unlawful, harmful, deceptive or abusive content;
  • attempt to reverse engineer, resell or circumvent rate limits or billing;
  • compromise the security or integrity of the Services or any provider; or
  • violate the usage policies of the underlying Model providers your requests are routed to.

5. Third-party models and content

The Services route requests to third-party Models. Your use of those Models is also subject to the applicable provider’s terms and acceptable use policies. Model availability, behavior, capabilities and pricing may change at any time as providers update their offerings.

6. Fees, billing and taxes

The Services are offered on a pay-as-you-go basis. You agree to pay all fees for your usage at the rates displayed at the time of use. Fees are charged for successful requests and are exclusive of taxes, which you are responsible for. Except as required by law or expressly stated, fees are non-refundable. We may change pricing prospectively with notice.

7. Free credits and trials

We may offer free credits or trials at our discretion. Credits have no cash value, may expire, and may be modified or withdrawn at any time. They may not be sold, transferred or combined with other offers unless we state otherwise.

8. Intellectual property

Apifuse and its licensors retain all rights in the Services, including the website, software and documentation. These Terms do not grant you any rights in our trademarks or brand features. As between you and Apifuse, and subject to provider terms, you retain your rights in your Input and Output.

9. Your content and data

You are responsible for your Input and for ensuring you have the rights to submit it. We process Input and Output to provide the Services and as described in our Privacy Policy. We do not use your Input or Output to train models.

10. Service availability and changes

We strive to keep the Services available but do not guarantee uninterrupted or error-free operation, particularly on free tiers. We may modify, suspend or discontinue features at any time. Service-level commitments, if any, are offered only under a separate written agreement.

11. Disclaimers

THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. AI-generated Output may be inaccurate or incomplete and should be reviewed before reliance.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APIFUSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Apifuse harmless from any claims, damages and expenses (including reasonable legal fees) arising from your Input, your use of the Services, or your violation of these Terms or applicable law.

14. Term and termination

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or to comply with law. Provisions that by their nature should survive termination will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, where Aqen Labs LLC is established, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes informally before pursuing formal proceedings.

16. Changes to these terms

We may update these Terms from time to time. Material changes will be posted with an updated “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance.
